General Terms and Conditions
Subject and Scope of Application
Any training order implies the Client's unconditional acceptance of and full adherence to these general terms and conditions of sale, which take precedence over any other Client document, including any general purchasing conditions.
Contractual Documents
STEPS CONSULTING provides the Client with a professional training agreement in accordance with Articles L6353-1 and L6353-2 of the French Labor Code. The Client agrees to return a signed and stamped copy to STEPS CONSULTING as soon as possible. A certificate of attendance can be sent to the Client upon request.
Definition of Training Activities
The outsourced training activity includes face-to-face teaching delivered to participants who have entered into a training agreement or contract with the Client. This training may include theoretical and practical instruction and may result in an assessment of acquired knowledge.
Financial Conditions
The Client is invoiced after the service is delivered. The invoice must be paid in full within 30 days. A 30% deposit may be requested upon signing the order.
Conditions for Training Cancellation by the Client
Any cancellation by the Client must be communicated in writing. For cancellations made less than five business days before the start of the training, the full cost of the training will be immediately payable as a lump-sum indemnity.
Training Materials
STEPS CONSULTING will provide printed or digital training materials if applicable.
Pricing and Payment Terms
All prices are quoted in euros, excluding taxes, and are subject to VAT at the prevailing rate. Any training initiated is due in full. Invoices are payable in euros, within 30 days from the invoice date, without discount, and made payable to STEPS CONSULTING. Any overdue amount will incur late payment penalties at the interest rate applied by the European Central Bank. These penalties are automatically enforceable upon receipt of a notice informing the Client of their application.
In addition to late payment penalties, the Client will owe a flat recovery fee of €40 in accordance with Articles L441-6 and D. 441-5 of the French Commercial Code. STEPS CONSULTING reserves the right to claim additional compensation, with justification, if actual recovery costs exceed this amount.

Payment via an OPCO
If the Client wishes payment to be made by the OPCO to which they belong, they must:
- Submit a funding request before the training begins and ensure its approval.
- Explicitly indicate this on the registration form or purchase order.
- Ensure the OPCO's payment is finalized.
If the OPCO only partially covers the training cost, the remaining balance will be invoiced to the Client. If STEPS CONSULTING has not received the OPCO's confirmation of funding by the first day of the training, the Client will be invoiced for the full training cost. In the event of non-payment by the OPCO, regardless of the reason, the Client will be liable for the total training cost.
Cancellation of a Firm Order by the Client
Any cancellation of a participant's enrollment less than or equal to the previously specified timeframe will be invoiced at 100%. Any cancellation due to the Client's abandonment of the training, or its cessation for any reason, whether or not attributable to the Client, will also be invoiced at 100%. Agreed travel expenses already incurred by the trainer will be included in the invoice.
Informing Participants by the Client
Community rules and safety instructions are communicated to participants by the trainer. Any breach will be verbally reported to the Client and may result in the participant's dismissal, in accordance with the provisions of the French Labor Code.
Data Protection Regulation (GDPR)
Information collected about the Client is subject to computer processing by STEPS CONSULTING and is essential for processing their order. Personal data is also stored for security purposes to comply with legal and regulatory obligations. It will be retained as long as necessary to execute the work ordered and any applicable warranties.

Access to personal data will be strictly limited to authorized employees responsible for processing it. Information may be shared with third parties contractually bound to the company for specific tasks, without requiring the Client's consent.
In accordance with Law No. 78-17 of January 6, 1978, as amended by Law No. 2004-801 of August 6, 2004, and European Regulation No. 2016/679, the Client has the right to access, rectify, delete, and port their data, as well as the right to object to its processing for legitimate reasons. These rights can be exercised by contacting the data controller at the postal or email address mentioned above, with proof of identity. In case of a complaint, the Client can contact the French Data Protection Authority (CNIL).

Intellectual Property
STEPS CONSULTING may transfer to the Client the rights to reproduce, use, distribute, adapt, modify, and exploit the training materials for internal use under clearly defined conditions.
Confidentiality
All information (excluding publicly available information) disclosed to or obtained by STEPS CONSULTING or the Client prior to or during the execution of the contract is strictly confidential. Both parties agree not to disclose such information.
Governing Law
The General Terms and all relations between STEPS CONSULTING and its Clients are governed by French law.
Consumer Mediation
Pursuant to Articles L.611 to L.616 and R.612 to R.616, consumer mediation is free for consumers, with processing and instruction fees covered by professionals. It can only be initiated by the consumer after attempting to resolve the dispute directly with the professional or their customer service.
Jurisdiction
Any disputes that cannot be resolved amicably will fall under the exclusive jurisdiction of the Paris Commercial Court, regardless of the Client's location, even in the event of multiple defendants or third-party claims.
